These Terms & Conditions ("Terms") govern your access to and use of the websites, applications, and services (collectively, the "Service") operated by Worldwide Music Group Ltd("WWMG", "we", "us", or "our"), a company registered in England & Wales, trading as Worldwide Music Group. By creating an account or otherwise using the Service you agree to these Terms.

1. Who you are contracting with

Your contract for the Service is with Worldwide Music Group Ltd. You confirm that you are at least the age of legal majority in your country, and where you are using the Service on behalf of an organisation, that you have authority to bind that organisation to these Terms.

2. The Service

WWMG provides music distribution, royalty accounting, marketing, AI-assisted rollout planning, an industry network directory, and related tools for recording artists and their teams. Specific features depend on the plan you select.

3. Your account

• You must provide accurate information and keep it up to date.
• You are responsible for safeguarding your account credentials and for all activity under your account.
• You must notify us promptly of any suspected unauthorised access.

4. Acceptable use

You agree not to misuse the Service. In particular you must not:

• Use the Service for any unlawful, fraudulent, or deceptive purpose;
• Upload, distribute, or claim ownership of recordings, artwork, or content you do not have the rights to;
• Send spam or unsolicited communications, or impersonate another person or artist;
• Interfere with the security or integrity of the Service, including by introducing malware, probing for vulnerabilities, or scraping;
• Reverse-engineer, copy, or resell the Service or any part of it;
• Circumvent any technical limits or rate limits.

5. Intellectual property

WWMG and its licensors retain all right, title, and interest in the Service, including all software, design, branding, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan and these Terms.

You retain ownership of the content you upload (recordings, artwork, metadata, written material). You grant WWMG a worldwide, royalty-free licence to host, reproduce, format, and distribute that content solely as needed to operate the Service and to perform distribution and marketing on your behalf.

6. Payments, billing, and refunds

Payments are processed securely by our payment provider, Stripe. Worldwide Music Group Ltd is the merchant for all orders and is responsible for customer service, billing enquiries, and refunds in line with our Refund Policy.

Subscription plans renew automatically at the end of each billing period unless cancelled. Fees are stated exclusive of applicable taxes, which are calculated and collected at checkout where required.

7. Suspension and termination

We may suspend or terminate your access to the Service if:

• You materially breach these Terms or our Acceptable Use rules;
• Your account is overdue on payment;
• We reasonably suspect fraud, copyright infringement, or activity that puts the Service or other users at risk;
• We are required to do so by law or by a competent authority.

On termination your right to use the Service ends. We will provide a reasonable window to export your content where practicable, after which we may delete it.

8. Service availability and warranties

We work hard to keep the Service running, but we do not guarantee uninterrupted, error-free, or secure operation. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Limitation of liability

To the fullest extent permitted by law, WWMG's aggregate liability for any claims arising out of or relating to the Service is limited to the fees you paid us in the twelve (12) months immediately preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under English law.

10. Indemnity

You agree to indemnify and hold WWMG harmless from claims arising out of content you upload, your unlawful use of the Service, or your breach of these Terms.

11. Changes to the Service or these Terms

We may update the Service and these Terms from time to time. Material changes will be notified via the Service or by email. Continued use after changes take effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction over any dispute, except where mandatory consumer-protection laws of your country of residence apply.
